This document outlines the cancellation, rescheduling, and refund terms for all training services provided by OpenClaw Lab LLC ("we," "us," "our"). By booking a training engagement with OpenClaw Lab, you ("the Client") agree to the terms described below.
In the rare event that we must cancel a scheduled workshop due to unforeseen circumstances (trainer illness, natural disaster, etc.), you will receive a full refund or the option to reschedule at no cost. We will notify you as early as possible and are not liable for ancillary costs such as travel or accommodation booked by the Client.
If you cancel before the pre-workshop audit has commenced (typically within 5 business days of the signed agreement), you are entitled to a full refund minus a $500 administrative fee.
Once our team has begun the pre-workshop audit or prompt development work, cancellations are handled on a pro-rata basis. You will be invoiced for all work completed up to the date of cancellation, including:
The remaining balance will be refunded within 15 business days. Any custom prompt libraries developed up to the cancellation date become the property of the Client.
If the delivered prompt library does not meet the agreed-upon specifications outlined in the project scope document, we will revise the deliverables at no additional cost (up to 2 revision rounds). If the Client remains dissatisfied after revisions, a partial refund of up to 40% of the project fee may be issued at our discretion, based on the scope of unresolved issues.
Enterprise Retainer engagements are billed monthly in advance. Each monthly payment is non-refundable once the billing period has begun, as resources (dedicated prompt engineer, access to support channels) are allocated for the full month.
Either party may terminate the retainer agreement with 30 days' written notice. Upon termination:
Retainer agreements signed for a minimum commitment period (e.g., 6 or 12 months) that are terminated early are subject to an early termination fee equal to 25% of the remaining commitment value. This fee compensates for resource planning and allocation.
Add-on services (additional cohorts, executive strategy sessions, governance framework development, extended support) follow the same cancellation terms as the primary engagement they are attached to. If purchased independently, the 1-Day Workshop cancellation schedule applies.
We understand that business needs change. Rescheduling is always preferred over cancellation, and we make every effort to accommodate new dates. Rescheduling requests made more than 7 days before the originally scheduled date are always free of charge. Requests made within 7 days are subject to a $500 rescheduling fee to cover administrative and logistical adjustments.
Approved refunds are processed within 15 business days of the cancellation request. Refunds are issued to the original payment method. If the original payment method is no longer available, we will work with you to arrange an alternative.
Neither party shall be held liable for failure to perform due to events beyond reasonable control, including but not limited to natural disasters, pandemics, government actions, or widespread technology failures. In such cases, engagements will be rescheduled at no additional cost.

If we are unable to reach a resolution, disputes will be governed by the laws of the State of Texas and resolved in the courts of Travis County, TX.
